Chapter 3 - DANIEL’S BANKRUPTCY WAS REAL

Daniel had not faked bankruptcy.

That rumor spread within forty-eight hours.

It was false.

Mercer-Hale Industries had been genuinely insolvent on a cash-flow basis for part of the previous year.

Daniel had made real mistakes.

That mattered.

Five years earlier, he pushed the company into an aggressive expansion of cold-chain logistics.

Then acquired a regional warehouse operator at too high a price.

Interest rates rose.

Construction costs exploded.

A major pharmaceutical customer canceled a long-term contract.

Debt service became unbearable.

Daniel mortgaged his house to keep payroll moving.

Then personally guaranteed a supplier facility that cost him another $9 million when the subsidiary failed.

He had been reckless.

Victor knew.

At first, Victor warned him.

Then Victor realized Daniel’s mistakes created an opportunity.

The partnership between them had always been unequal.

Daniel founded the company at twenty-seven.

Victor joined four years later.

He became chief strategy officer.

Then president.

He was brilliant at finance.

Better than Daniel in many ways.

But Daniel still held forty-one percent of the voting rights through founder stock.

Victor held seventeen.

He wanted more.

When the company weakened, Victor began building relationships with the lenders.

He told Daniel:

“I’m buying us time.”

What he was really buying was leverage.

Victor persuaded NorthBridge to acquire several distressed company loans from other creditors.

Then created Hale Acquisition Partners to bid on assets if Mercer-Hale entered restructuring.

At first, perfectly lawful.

Then the lines blurred.

Victor started sharing internal information with lenders before the board approved disclosure.

He privately promised investors board seats he did not yet control.

He negotiated for Daniel’s mansion note through a side vehicle.

Most importantly, he represented that Daniel had agreed to support a restructuring plan that Daniel had explicitly rejected.

That representation ended up in NorthBridge’s credit file.

Daniel discovered it six weeks before the boardroom celebration.

He did not confront Victor.
