Chapter 8 - THE WIFE WHO OWNED THE COMPANY

Andrew thought Margaret was mistaken.
She was not.
Eleven years earlier, Vance Hospitality had been close to bankruptcy.
Andrew remembered investors saving it.
He did not know one of those investors had been Mariana.
Not directly.
Her late father had left her a trust.
Mariana used it to purchase distressed Vance debt through a holding company.
When the company restructured, the debt converted to equity.
“How much?” Andrew asked.
“Twenty-eight percent.”
Andrew stared.
He owned nineteen.
Margaret owned twelve.
Other investors held the rest.
Brenda looked almost impressed.
“You’ve been his largest family shareholder for a decade.”
“Yes.”
“And he didn’t know.”
“No.”
Andrew stood.
“Why?”
“Because you would have hated it.”
“You decided that for me?”
“I knew you.”
“That is not an answer.”
Mariana looked at him.
“You were thirty years old and desperate to prove you could save your father’s company. If I told you your wife had quietly become the largest shareholder, you would have seen humiliation instead of help.”
Andrew laughed bitterly.
“So you lied.”
“Yes.”
Brenda said, “Interesting.”
Mariana turned.
“Don’t.”
“No, this matters.”
Brenda looked at Andrew.
“She criticizes you for secrecy while hiding control of your family company for eleven years.”
Mariana said, “I never used that control against him.”
“That isn’t the point.”
Brenda was right.
Mariana hated it.
Andrew asked, “The $8.4 million?”
“I moved it under authority attached to my holding company.”
“So legally?”
“Yes.”
“Secretly?”
“Yes.”
Andrew looked wounded.
Mariana did not retreat.
“You hit me because you believed the worst possible story about me within minutes.”
His face tightened.
“That does not excuse what I did.”
“No.”
“But your lies matter too.”
“Yes.”
It was the first honest conversation they had managed all night.
Detective Brooks interrupted.
“If Julian wants control, Mrs. Vance’s twenty-eight percent is an obstacle.”
Mariana nodded.
“Frame me for theft and embezzlement.”
Andrew said, “Force her off the board.”
Brenda added, “Possibly trigger a morals or fiduciary clause in the shareholder agreement.”
Mariana looked at her.
“You know the agreement?”
“My family financed it.”
Of course.
Brenda pulled up the document.
A director indicted for financial crimes could be temporarily suspended.
Mariana’s voting rights could then be placed in trust.
“Controlled by whom?” Andrew asked.
Brenda read.
“The independent family trustee.”
Margaret whispered, “Julian.”
Everyone stared.
Thomas had never updated the document after forcing his brother out.
Julian still held a dormant legal role.
Mariana understood.
“This was never about the necklace.”
Brenda shook her head.
“The necklace was the ignition.”
Andrew said, “He wanted you accused.”
Mariana looked at the missing key records.
“No.”
She suddenly saw it.
“He wanted all of us looking at me while he opened Box 317.”
Detective Brooks asked, “What was inside?”
