Chapter 8 - WHAT CHANGED
Northline did not create Derek’s ambition.
It gave his ambition a deadline.
Derek believed he already knew Raymond’s answer.
No.
So instead of asking, he started building a structure where Raymond’s no would matter less.
That was the real betrayal.
Not stealing ownership.
Reducing the weight of a voice before the voice spoke.
Kristen understood it before Raymond did.
She confronted Derek after seeing the full Northline term sheet.
“You told me Raymond wanted out.”
“He does.”
“Did he say that?”
“He lives like it.”
“That’s not what I asked.”
Derek snapped:
“You’ve spent years begging me to stop waiting for him.”
“I begged you to pay me for my work.”
“You wanted us to move forward.”
“Yes. Not lie.”
The marriage began cracking there.
Kristen had supported Derek’s resentment.
She had not understood the document manipulation.
Then she found something else.
Northline’s term sheet included a future compensation committee.
That meant her phantom-equity arrangement was not guaranteed.
Derek had promised her a benefit he did not control.
Again.
Kristen realized she had been useful to his story:
Raymond absent.
Derek carrying company.
Kristen carrying family-hosting work.
Everyone waiting for formal recognition.
Derek promised tomorrow would fix yesterday.
Then used today to keep them compliant.
She gave Raymond the file Derek feared most.
A private presentation prepared for Northline.
Slide:
POST-TRANSACTION FAMILY GOVERNANCE.
Derek: CEO / primary family representative.
Elaine: emeritus.
Raymond: non-operating shareholder pending liquidity event.
Kristen: strategic community advisor.
Raymond stared.
“Pending liquidity event?”
Kristen nodded.
“There’s another page.”
The next slide estimated a future secondary sale of Raymond’s shares.
Not mandatory.
Assumed.
The model showed Raymond selling half his stake within three years.
He had never discussed selling anything.
Then Raymond noticed a footnote.
Source: family discussions.
“What family discussions?”
Kristen answered:
“Derek said you and Elaine agreed.”
Elaine denied it immediately.
Then Paige found the presentation’s author history.
Derek created the slide.
But the phrase family discussions had been added by someone else.
