Chapter 6 - THE DIVORCE
Hannah’s divorce had nothing to do with Carter Medical at first.
Her ex-husband, Andrew Keller, was not wealthy.
He was a civil engineer.
Their marriage ended because of:
years of emotional distance,
his affair,
and Hannah’s refusal to keep pretending the marriage was recoverable.
The divorce settlement was mostly complete before the twins were born.
Shared legal custody.
Primary infant residence with Hannah during the newborn phase.
No dramatic fortune battle.
Then the company issue appeared.
Andrew’s lawyer asked for the value of Hannah’s Carter Medical interest because it affected property disclosures.
That forced the family to produce a number.
$4.18 million.
Andrew’s side challenged it.
Not because he owned Hannah’s inherited shares.
He did not.
But income and distributions affected support calculations.
Hannah hired independent valuation expert Priya Shah.
Priya found the company had recently signed a preliminary agreement with Hartwell Regional Health.
Potential five-year revenue:
$48 million.
Not guaranteed.
But material.
The board’s internal valuation excluded it entirely.
That was the source of the gap.
Andrew became an unexpected witness.
Not for Hannah.
Not against her.
For the timeline.
His divorce lawyer produced an email from Carter Medical’s counsel sent six weeks before the twins were born.
It said:
We understand Hannah may consider liquidity after final marital settlement. No election is presently required.
Hannah had never seen it.
Why?
Because the email went to Richard, Evelyn, and the company CFO.
Not Hannah.
Richard claimed it was internal legal advice.
Grace disagreed.
“It directly concerns whether Hannah must sell.”
Lauren replied:
“It was not addressed to Hannah and contains privileged strategy.”
The privilege issue became complicated.
Eventually the company waived privilege on a limited basis to resolve the governance dispute.
The sentence came into evidence.
No election is presently required.
