Chapter 8 - THE COMPANY BOARD HEARD ABOUT THE LIE

The family conflict became a corporate issue only because Ruth made it one.

She sent two board members messages questioning Maya’s “judgment” and suggesting the pregnancy controversy might affect future trust governance.

That was a mistake.

Marcus demanded a formal review of whether Ruth had used her trust-chair role to interfere in private family matters.

The board was not interested in adultery gossip.

It cared about governance.

Emails showed Ruth had asked a company security contractor to obtain Maya’s travel photographs.

Without a valid corporate purpose.

Company money paid the invoice.

That crossed a line.

Ruth reimbursed the expense.

Then resigned as trust chair under pressure from independent counsel.

She did not lose her shares.

She did not go to prison.

She lost something more relevant.

Control.

A professional trustee replaced her.

The baby’s future interest remained exactly where Marcus’s father had placed it.

Protected from Ruth.

Protected from Marcus.
