Chapter 5 - WHY VIVIAN NEEDED THE SHARES NOW

Ashcroft Medical Systems was preparing to vote on a $220 million acquisition.

A company called Meridian Surgical Robotics.

Michael had supported the transaction before his death.

Rachel did not.

Not after reviewing Meridian’s debt.

The company carried unresolved product-liability claims and a manufacturing problem hidden inside a supplier dispute.

Rachel requested delay.

Vivian called that betrayal of Michael’s legacy.

But Vivian had another reason to want the deal.

She owned, through an old family investment partnership, a large position in Meridian’s private debt.

If Ashcroft Medical acquired Meridian, that debt would likely be refinanced at full value.

Vivian stood to recover nearly $11 million.

Rachel did not know.

Neither did the board.

That was the conflict Serena Holt found two weeks before Rachel’s surgery.

Serena planned to raise it after Rachel recovered.

Someone found out.

The timing suddenly looked different.

Vivian’s incapacity plan began days after surgery.

Not because Rachel seemed medically worse.

Because the board vote was six weeks away.

If Rachel remained trustee, she could block the acquisition.

If Vivian controlled Rachel’s shares temporarily, she could force it through.
