Chapter 11 - THE BOARD VOTE
The aviation vote was postponed.
No secret midnight takeover.
No instant collapse.
The board appointed an independent committee to review:
Margaret’s capacity,
the proxy designation,
Vivien’s conflict,
Arden Vale’s bid,
and Nathaniel’s role.
A geriatric specialist evaluated Margaret.
She had:
normal age-related memory lapses,
neuropathic pain,
and no dementia diagnosis.
More importantly, she could understand:
the asset,
the proposed price,
the alternatives,
the risks,
and the consequences of voting yes or no.
Capacity is decision-specific.
Margaret had it.
The proxy designation naming Vivien was rejected because the witness signature and document sequence were unreliable.
Susan Hale remained the valid care representative.
Then the board reopened bidding.
Arden Vale was permitted to remain only under enhanced conflict controls.
Margaret agreed.
Nathaniel was surprised.
“You’re still letting Julian bid?”
“I objected to the process.”
“He’s Vivien’s brother.”
“That does not make his money imaginary.”
Another bidder offered $535 million.
Arden Vale raised to $548 million.
After review, the board accepted.
Margaret voted yes.
Nathaniel stared.
“You said no.”
“To $480 million.”
That was the lesson.
Opposition was not confusion.
It was negotiation.
Margaret’s board colleagues apologized awkwardly after the review.
One said:
“I should have noticed you were still sharp.”
Margaret stared at him.
“Still?”
He turned red.
She let him.
Age bias had helped Vivien because even sophisticated people found decline stories easy to believe about an older woman with a cane.
Margaret did not respond by proving she was superhuman.
She responded by requiring better process.
Respect should not depend on performing youth.
The board minutes later recorded Margaret asking more detailed financing questions than Nathaniel.
He read them twice.
