Chapter 9 - THE BOARDROOM ENDED CHARLES BEFORE THE COURTROOM DID
The Whitmore BioSystems board met six weeks after the bedroom confrontation.
Charles arrived with three lawyers.
Claire arrived with Mara, independent counsel, and a stack of audit reports.
The board reviewed:
undisclosed related-party compensation,
vendor conflicts,
false or unsupported consulting invoices,
fund transfers through R.C. Consulting,
executive device access,
and internal messages discussing how liability would be assigned if discovered.
The affair itself was not the central issue.
That surprised the gossip sites.
The board cared about fiduciary misconduct.
Charles argued the payments were legitimate executive strategy.
The evidence disagreed.
By evening, the board placed him on leave.
A month later, he resigned.
Civil and criminal investigations continued.
Some charges were eventually filed involving fraud, false records, and misuse of corporate funds.
Not every suspicious payment became criminal.
Some consulting work was real.
Rebecca returned a substantial portion of compensation deemed unsupported.
She entered a cooperation agreement but did not receive blanket immunity.
Claire became interim chair, then pushed the board to select an outside CEO.
She did not want to inherit Charles’s job through scandal.
