Chapter 11 - THE GUARANTEE

Diane’s personal guarantee covered $1.5 million.
If the refinancing failed, she could lose her investment condo and a commercial account.
That explained the panic around Claire’s suitcase.
The ledger was not merely inconvenient.
It threatened Diane personally.
Then the lender suspended the transaction entirely.
Bennett Development Group faced a cash shortage.
Employees might lose jobs.
Claire did not celebrate.
She reviewed the smaller clean financing Ryan proposed.
It was expensive.
But workable.
She approved a bridge through an independent lender.
No Lane Capital.
No house.
No Diane guarantee.
The company survived.
Ryan looked stunned.
“You helped.”
“I helped the employees.”
“Same company.”
“Different reason.”
Then the accounting hearing began.
Claire’s side established:
Lane Capital’s ownership was real.
The fifteen-percent dilution was undocumented.
The redemption check was misleading.
The consent form used during Claire’s flight exceeded any reasonable routine authority.
Diane’s notebook predated the gun incident.
Ryan’s side established:
Claire commingled some inherited funds.
She gave broad authorizations.
She benefited from household and company expenses.
She drew a weapon during a domestic argument.
All true.
The judge refused simple labels.
No instant “all separate” ruling.
No instant “all marital” ruling.
Instead:
Full tracing.
Independent accounting.
Temporary neutral management.
Claire hated how slow justice was.
Then Naomi whispered:
“Slow is good when they planned around speed.”
Fair.
Diane’s forty-percent ownership became subject to adjustment if the illegal dilution was reversed.
Ryan’s forty percent remained.
Lane Capital could rise from twenty back toward thirty-five.
Claire might become one of the largest economic owners.
Ryan looked at the projection.
Then at her.
“Did you know?”
“No.”
For once, they were equally surprised.
Then Diane stood and walked out.
Too calm.
Naomi looked at Claire.
“She’s planning something.”
Two hours later, Lane Capital received a transfer notice.
Diane had attempted to sell her Bennett Property Holdings shares to an outside investor.

If the sale closed, the ownership fight would become much harder.
She was trying to exit before the accounting finished.
