Chapter 6 - THE CLAUSE THEIR MOTHER NEVER SAW

The prenuptial agreement was real.

Emily had signed it four days before the wedding with her own lawyer present. The confidentiality clause was unusually broad but not automatically invalid. Her lawyer, Susan Park, testified that Emily appeared calm and understood the document.

Emily remembered the meeting. She also remembered that the final agreement had been presented as unchanged from a draft her mother reviewed before her death.

The draft in Susan's file contained no share-forfeiture clause.

Metadata showed the clause was added the night before signing. Susan received the new version from Logan's counsel at 6:12 a.m. She reviewed it quickly, mentioned “expanded confidentiality,” and failed to explain that a breach could transfer shares.

That negligence strengthened Emily's challenge, but did not erase her signature.

Logan's defense grew more sophisticated. He admitted restraining Emily during arguments but called it necessary to prevent self-harm. He admitted preserving bedroom videos but claimed they protected them both. He denied altering medication. For every act, he offered a safety explanation supported by selected clinical notes.

Then the court evaluator issued her capacity report.

Emily had anxiety and trauma symptoms. She was not psychotic, cognitively impaired, or unable to manage decisions. Her fear of Logan was consistent and grounded in documented events. The evaluator recommended no guardianship.

The neutral custodian returned Emily's voting rights under safeguards: she had to consult independent corporate counsel before the Meridian vote.

Logan immediately called an emergency board meeting.

He no longer needed Emily's proxy. During the delay, he persuaded two directors that the scandal threatened the company. Together with his own shares, they could approve a revised sale if one more director supported them.

The final director was Olivia.

Their mother's trust had given her only four percent, but it included a temporary tie-breaking vote when the sisters disagreed over a sale of core assets.

For years, everyone treated Olivia's interest as symbolic.

Logan offered her twelve million dollars for it.

He did not hide the offer. He delivered it through lawyers, with an independent valuation and no illegal threat.

“Take it,” Emily told her sister unexpectedly.

Olivia stared at her. “You think I'd sell you out?”

“I think we need to know why he's suddenly willing to pay triple what it's worth.”

Olivia accepted a meeting.

Logan arrived with a document showing that if the Meridian sale failed, Carter Behavioral would breach its bank covenants within thirty days.

Thousands of employees could lose their jobs.
