Chapter 7 - THE SALE THAT COULD SAVE THE COMPANY
The threat was not entirely fabricated.
Carter Behavioral had borrowed heavily to expand clinics. Interest costs had risen. Without the Meridian payment, a covenant breach was likely. Logan had concealed the severity from the board, but the cash crisis was real.
If Olivia rejected the deal, he could blame the twins for destroying their mother's company.
Emily hired restructuring attorney Leah Morgan rather than rely on emotion. Leah found alternatives: a smaller bridge loan, sale of two noncore properties, and temporary reduction of executive dividends. Those measures could preserve operations without transferring identifiable patient data.
The plan required Logan and three directors to surrender bonuses and personal guarantees.
They refused.
At the board meeting, Logan spoke about jobs, not control. He displayed forecasts showing clinic closures. Employees waiting outside feared both the data sale and unemployment.
Emily did not pretend there was a painless choice.
She voted against Meridian and proposed the restructuring plan. Olivia used her tie-breaking authority to postpone the sale for ten days while an independent committee verified both forecasts.
Logan called it obstruction.
The independent review found his crisis projections exaggerated but not invented. It also discovered forty-three million dollars in “strategic development fees” paid over five years to vendors affiliated with two directors and Logan's private investment vehicle.
The payments had drained the cash he now claimed only Meridian could replace.
Logan said the fees covered legitimate acquisition work. He produced contracts, reports, and consultants who had performed some services. Like every effective scheme, it contained enough real work to make the false part difficult to isolate.
Jonah returned from Canada after receiving whistleblower protection. His original compliance report showed the Meridian sale violated consent restrictions for approximately sixty percent of the records. He also produced emails in which Logan ordered staff to classify development fees as operational necessities.
The board suspended Logan as chief executive pending investigation.
That night, Olivia received an anonymous video.
It showed the twins in her kitchen before the switch. Emily removed her sleep top. Olivia put it on. They discussed getting Logan to take Olivia home so Emily could revoke the proxy.
The recording included one sentence from Olivia:
May you like
“If he touches me, I'll make him regret it.”
The video had been filmed inside Olivia's supposedly private house.
