Chapter 10 - THE CEO VOTE

The board meeting lasted five hours.

Michael defended himself well, pointing to years of profit growth, expansion, and a strategically sound North Vale deal.

He acknowledged the affair.

He acknowledged poor judgment.

He denied stealing.

Then he said:

“If every CEO who mixed personal weakness with business judgment were removed, half this city would be unemployed.”

One director almost smiled.

Maya did not.

The special committee recommended removal for cause from the CEO role based on:

Undisclosed conflict.

Inappropriate vendor compensation.

Misuse of executive housing process.

Failure to disclose Jessica’s North Vale interest after being warned.

Attempt to reduce transaction challenge risk through a private marital release.

Governance failure, not a criminal judgment.

David abstained.

Emily was not on the board.

That mattered.

The vote passed six to two.

Michael was removed as CEO.

He retained vested equity subject to normal agreements.

No family confiscation.

The COO became interim chief executive.

North Vale closing remained scheduled under independent supervision.

After the vote, Michael asked to see Emily.

She agreed to meet in Maya’s office.

He looked exhausted.

“You won.”

Emily shook her head.

“My marriage ended.”

“That isn’t what I meant.”

“I know.”

He sat.

“David gets the company back.”

“No. He doesn’t.”

Michael frowned.

“The board adopted a rule this morning. No founder-family executive appointment for two years without independent supermajority approval.”

He stared.

“You agreed to that?”

“I asked for it.”

That surprised him.

Emily continued:

“I don’t want Dad replacing you. I don’t want me replacing you. The company is not a divorce settlement.”

Michael laughed softly.

“Maybe you should have been CEO.”

“No.”

“Why?”

“Because apparently everyone in this family thinks power is the only proof you mattered.”

That silenced him.

Then he asked:

“Are you keeping the baby?”

Emily stared at him in disbelief.

He closed his eyes.

“Stupid question.”

“Yes.”

She stood.

“Our daughter is not part of what you lost today.”

Michael looked up sharply.

Daughter.

He had not known the sex.

Emily left before either of them could turn that moment into forgiveness.
