If Elena became unable to exercise voting authority, an incapacity review could temporarily shift her voting instructions to a three-person committee.
Not Elliot alone.

The committee consisted of:
an independent fiduciary,
one family representative,
and one outside director.
The clause required evidence.
Not gossip.
Not a spouse’s accusation.
Medical documentation.
Independent review.
Written findings.
Still, Elliot saw opportunity.
The family representative was Vivian.
The outside director, Martin Shaw, had worked with Elliot for years.
The independent fiduciary could be pressured with urgency if everyone else presented the same story.
That was Elliot’s theory.
If Elena appeared:
unstable,
dangerous,
hospitalized,
and incapable of making decisions,
then the committee might temporarily exercise her voting rights.
Why did those votes matter now?
Because ValeCure was in trouble.
