Chapter 7 - DR. MORALES

Elena did not go secretly prove she was “perfectly sane.”

That would have been the wrong question.

She met with Dr. Julia Morales, a psychiatrist recommended by independent counsel.

Elena brought:

medication history,

therapy records,

sleep notes,

recent stressors,

and the governance clause.

Dr. Morales refused to become a corporate weapon.

“I’m not certifying that every decision you make is correct.”

“I don’t need that.”

“I’m not certifying that you’ll never become ill.”

“I know.”

“What are you asking?”

Elena answered:

“Whether anything you see supports the claim that I currently lack capacity to make business and financial decisions.”

After several sessions, the answer was no.

Elena had anxiety.

Sleep disruption.

Anger.

Fear.

She also understood:

the rescue financing,

its risks,

her assets,

board structure,

alternatives,

and consequences.

Capacity is not calmness.

That sentence became the center of Dr. Morales’s report.

During the board investigation, Dr. Morales refused to testify that Elena’s anxiety had no effect on her behavior.

“It did.”

Elliot’s lawyer leaned forward.

“How?”

“She slept worse. Her irritability increased. She ruminated.”

“So her judgment was impaired?”

“That does not follow automatically.”

“Could it?”

“In some people, under some circumstances.”

“Could it here?”

Dr. Morales answered:

“I evaluated her. She understood the decisions in question, the alternatives, the risks, and the consequences. I found no basis to say she lacked decision-making capacity for those matters.”

No absolute language.
