Chapter 14 - THE SALE

Miller Family Events did not collapse.

It shrank.

Vanessa sold:

two underused vans,

excess rental inventory,

and one premium décor line.

Margaret injected cash from a certificate of deposit.

Not enough to solve everything.

Enough to reduce the line.

The company hired a controller.

Personal expenses stopped.

Vanessa’s relationship with Margaret changed once the controller started reviewing distributions.

Margaret complained:

“I own part of this company.”

Vanessa answered:

“So do I.”

“Then why do I need approval?”

“Because we have debt.”

For the first time, Vanessa repeated Haley’s logic to their mother.

She hated noticing.

Growth sometimes begins as hypocrisy before it becomes understanding.

Owner distributions became formal.

Pricing changed.

One year later, current bank exposure dropped below $90,000.

Then the company refinanced with a new lender.

Without Haley.

Vanessa signed her own limited guaranty.

The old Westlake line was paid off.

Haley received a release letter.

When the release letter finally arrived, Haley did not celebrate with champagne.

She called Martin.

“Is there any surviving exposure?”

He answered:

“Not under this facility.”

“Any side agreements?”

“None reflected in our records.”

“Any contingent commitments?”

“No.”

Then she called Melissa.

Only after both confirmations did Haley believe the letter.

Trust had become verification.

Not paranoia.

Procedure.

She read every word.

Twice.

Then sent it to Melissa.

Melissa replied:

May you like

Now you can breathe.

Haley did.
