Chapter 3 - THE EIGHT-MILLION-DOLLAR BREAKUP
The merger agreement had never said Claire had to marry Ethan.
That would have been absurd.
It did, however, contain a founder-alignment package negotiated on the assumption that the two CEOs would become family.
Ethan’s post-closing role came with extraordinary retention terms:
$11.8 million over three years.
Operating authority over five Bennett Harbor properties.
A seat on the integration committee.
And a breakup clause.
If Bennett Harbor walked away for reasons unrelated to Cole Hospitality’s financial condition or contractual performance, it could owe up to eight million dollars.
Ethan’s lawyer moved fast.
By midnight, he argued Claire’s personal humiliation had contaminated the acquisition.
Rachel Moore, who served as Claire’s outside counsel as well as maid of honor, read the notice twice.
“He wants you angry.”
“I am angry.”
“He wants you to make a business decision while angry.”
Claire stared at the ballroom flowers being removed downstairs.
“Then we don’t.”
The next morning, she ordered an independent transaction review.
Not cancellation.
Review.
That frustrated Ethan.
Then Claire looked at the wedding video.
Vanessa had claimed she did not send it.
So who did?
The hallway footage came from hotel security.
But Vanessa’s mirror video came from her phone.
Rachel checked the file metadata.
Original export created at 5:58 a.m.
Anonymous delivery to Claire at 6:22.
The sender had access to Vanessa’s device or cloud account.
Then Vanessa called.
“Did you enjoy yourself?”
Claire almost hung up.
Instead:
“Did you send the message?”
Silence.
Then Vanessa said:
“Yes.”
Claire’s eyes narrowed.
“But not the video.”
“No.”
“Explain.”
“I sent the text. I wanted you to catch us.”
Claire stared at the wall.
“You wanted me to see you in his room?”
“Yes.”
“Why?”
Vanessa laughed bitterly.
“Because he kept promising he would leave you after the acquisition. I got tired of waiting.”
There it was.
Not remorse.
Strategy.
Claire asked:
“Who had your video?”
Vanessa’s tone changed.
“I don’t know.”
“Ethan?”
“Maybe.”
Then she added:
“There’s something else you should know.”
Claire waited.
“Reed Strategies.”
Claire knew the name.
Vanessa’s PR firm.
“It has a post-closing contract with Cole Hospitality.”
“How much?”
Silence.
“Vanessa.”
“Two point four million.”
Claire went completely still.
Ethan had disclosed Reed Strategies as a vendor.

The affair had just become a business conflict.
