Chapter 7 - THE COMPANY ETHAN POLISHED FOR SALE
Cole Hospitality had not invented revenue.
Its hotels were real.
Management contracts were real.
Guests existed.
Cash came in.
The problem was presentation.
Integration work.
PR campaigns.
Executive travel.
Vendor coordination.
Several expenses that belonged inside Cole were billed through Reed Strategies or deferred into post-closing obligations.
Result:
Cole looked more profitable.
That supported a higher acquisition price.
Ethan’s defense:
The accounting treatment had been reviewed by outside advisers.
Some had approved it.
Others had warned it was aggressive.
Then one email appeared.
Cole controller to Ethan:
If Reed carries these expenses until close, EBITDA improves enough to protect valuation.
Ethan:
Do it.
There.
Not criminal by itself.
But intentional.
Then Vanessa testified to the independent committee.
She admitted Reed Strategies issued invoices for work not yet completed.
“Did Ethan ask you to?”
“Yes.”
“Did you understand why?”
“To make Cole look cleaner.”
“Did you benefit?”
“Yes.”
No excuses.
Then Claire’s counsel asked:
“Did you sleep with Ethan during this period?”
“Yes.”
The relationship and the accounting conflict now occupied the same timeline.
Then Ethan struck back.
He released evidence that Claire had asked Bennett Harbor finance staff to model a lower acquisition price before the wedding.
Again, true.
He argued she was weaponizing the accounting review to get a discount.
The board could not ignore that.
So Claire proposed something that stunned everyone.
“Open Cole to competing valuation.”
Ethan stared.
“What?”
Independent bankers would value Cole without relying on Bennett Harbor’s preferred price or Ethan’s projections.
If the business was worth the original number, Claire would accept it.
If not, the price changed.
No revenge discount.
No Ethan premium.
Just value.
The independent valuation began.
Then the wedding video source came back.
Vanessa had sent only the anonymous text.
The mirror video had been exported from her cloud account using credentials from Ethan’s personal laptop.
Ethan had possessed the video.
Why would he send Claire proof of his own cheating?
He said he did not.
Then forensic logs showed the export occurred while Ethan’s laptop was connected to hotel Wi-Fi.
Someone had used his computer.
Room access records showed only three people entered the suite that morning.
Ethan.
Vanessa.
And one more person.
