Chapter 14 - THE GYM WITHOUT A KING

The Mercer sale collapsed.

Not because Emily blocked everything.

Because:

consent dispute,

Jason contract challenge,

sponsor uncertainty,

governance conflict

made the deal unattractive.

Robert blamed Emily.

For months.

Then lenders demanded clearer management.

Owners needed a solution.

Rachel proposed:

independent general manager,

formal board,

written approval rules,

separate athlete agreements.

Robert hated it.

Jason surprisingly supported it.

Emily did too.

Vote:

Emily 27%.

Jason 27%.

Robert 46%.

Emily plus Jason:

54%.

Not enough for every structural change under old agreement.

Then Robert realized he could either negotiate or watch gym finances deteriorate.

He negotiated.

Independent manager appointed.

Robert kept ownership.

Lost unilateral operational control.

Jason remained fighter.

No special brand contract.

Emily remained coach and shareholder.

No forced return to competition.

The gym did not become perfect.
