Chapter 10 - THE DEAL THAT COULD STILL CLOSE
The judge did not decide final ownership immediately.
Instead, the court approved a temporary escrow structure.
Northway could close the acquisition.
A disputed portion of Daniel’s proceeds would remain in escrow until Emily’s claim was resolved.
Employees would not wait for the marriage.
The buyer accepted.
Roman’s investment group accepted.
Daniel hated it.
Emily did not love it either.
But it separated jobs from marriage.
That mattered.
Then Northway tried to reprice the deal downward by $1.2 million because of disclosure risk.
Emily objected.
Daniel’s lawyers were shocked.
“You’re helping him?”
“No.”
She looked at Northway’s counsel.
“The company didn’t become worth less because Daniel lied to me.”
The buyer argued legal risk had economic cost.
True.
Independent counsel negotiated a smaller holdback instead of permanent price reduction.
The deal remained near original value.
Roman later said:
“You saved him money.”
Emily answered:
“I protected the value I may partly own.”
He smiled.
“Better answer.”
Then the acquisition closed.
No champagne for Emily.
No victory.
Just escrow.
Daniel received enough money to be wealthy even after the holdback.
That helped destroy one of his defenses.
He had acted as if losing control meant losing everything.
It never did.
Then Noah’s health coverage issue settled separately.
Daniel’s insurer could not retroactively recreate every claim automatically.
But Daniel agreed to reimburse uncovered costs and fund uninterrupted coverage going forward.
The court ordered it.
Emily did not thank him.
Then Frank the landlord dismissed the eviction after receiving back rent through temporary support.
Emily moved anyway.
She did not want to live where Daniel had paid someone to count her missed days.
Roman offered access to a corporate apartment.
She declined.
“Why?”
“Because I don’t want another man’s company holding my front door.”
Roman nodded.
“Fair.”
Emily found a small townhouse near Noah’s school.
Not glamorous.
Stable.
