The second bidder was Atlas Crest.
A rival private-equity firm.
Charles had received $600,000 through a consulting intermediary.
His explanation:

Atlas had asked Charles to keep the NorthBridge deal unstable long enough to force a failed closing.
If NorthBridge walked, Atlas planned to bid lower.
Charles was playing both sides.

Sophia looked stunned.
“You told me NorthBridge had to close.”
Charles laughed without humor.
“You wanted NorthBridge to close.”
“Because you said it was the only way to save the company.”
“I said it was one way.”

Sophia had believed she was using Charles.
Charles had been using her too.
The board fired him.
The state bar opened an investigation.
