Chapter 8 - THE TRUSTEE WHO WOULD WIN

The trust hearing began at four that afternoon.

Daniel’s authority remained active.

Barely.

Sophia’s accusation had created enough uncertainty for emergency review.

Charles argued Daniel should be suspended temporarily.

Naomi objected.

“You represent the family trust and advised NorthBridge. That is a conflict.”

Charles answered:

“My firm’s NorthBridge work is limited.”

“Limited enough to receive $1.2 million in closing fees?”

Michael looked at him.

“What?”

Charles’s face stayed calm.

The fee was disclosed to the transaction committee.

Not to the full family.

Daniel smiled coldly.

Another contingent payment.

Sophia’s Redline fee.

Charles’s legal fee.

Everyone got paid if the deal closed.

Then Charles made his strongest argument.

“None of those fees matter if the underlying sale is necessary.”

He presented the debt schedule.

Loan maturities.

Repair obligations.

Cash flow.

Brooks Meridian was genuinely vulnerable.

“If the family delays another quarter, we risk covenant default.”

Some board members nodded.

Daniel knew the numbers.

They were real.

Then Charles turned to him.

“Mr. Brooks opposes the sale because the hotels belonged to his mother.”

Daniel said:

“I oppose selling control cheaply.”

“NorthBridge’s valuation is above market median.”

“Because the conversion rights are hidden in the appendix.”

Charles paused.

Michael looked up.

“What conversion rights?”

Daniel slid over the term sheet.

If performance targets failed, NorthBridge could convert preferred interests into voting control.

Sophia said:

“That is standard downside protection.”

Again.

Not stupid.

Michael looked between them.

The deal could save the company.

The deal could also cost the family control.

Both true.

The judge declined to suspend Daniel immediately.

Instead, she froze the trust vote for twenty-four hours.

Sophia’s $4.8 million fee moved farther away.

Charles’s $1.2 million too.

As everyone left, Michael received a voice memo from an unknown sender.

Sophia’s voice.

“If Daniel is out by midnight, Charles says the trust shifts automatically.”

Michael stopped walking.

Daniel turned.
