Chapter 3 - THE FORTY-EIGHT-HOUR CLAUSE

Claire called attorney Naomi Chen from the hospital parking garage.

Naomi listened without interruption.

Then asked:

“What happens at Whitmore Coastal in the next three days?”

Claire frowned.

“Harbor Crown vote.”

“When?”

“Thursday.”

“Today is Tuesday.”

Claire went still.

Naomi continued.

“What happens if you’re medically unavailable?”

The answer came slowly.

An old governance agreement.

After Claire’s father died, lenders insisted on continuity protections.

If Claire became temporarily incapacitated for more than forty-eight hours, her spouse received emergency voting authority over her shares until an independent trustee could step in.

Ryan.

Claire leaned against the concrete wall.

“He needs forty-eight hours.”

“Maybe.”

“Naomi.”

“I said maybe.”

Good.

Naomi did not let emotion become proof.

They pulled the Harbor Crown file.

The acquisition cost $310 million.

Ryan had negotiated it for eighteen months.

Claire had delayed the vote twice because the financing diluted family voting power.

If Ryan voted her shares, it would pass.

Then Naomi found the executive schedule.

Closing bonus for Ryan:

$6.2 million.

Future equity package.

Advisory fees through a private entity called RW Strategic.

Claire stared.

“He gets paid if I’m absent.”

“He gets paid if the deal closes.”

“Same difference.”

“No.”

Naomi looked at her.

“That difference matters in court.”

Claire hated it.

Then another document.

Ryan had emailed company counsel four months earlier.

Subject:

Temporary shareholder incapacity procedures.

Question:

If the controlling shareholder is hospitalized but conscious, what standard activates emergency spouse voting?

Claire stopped.

He had been researching it months ago.

Still not proof.

Executives plan contingencies.

Then Naomi opened another email.

Ryan:

Would medication-related confusion qualify?

Claire stared.

“Medication-related.”

Naomi’s face tightened.

Now the pattern looked less innocent.

Then the hospital called.

Vanessa had suffered another episode.

Not life-threatening.

But serious.

And this time, before Claire could reach the floor, Vanessa sent a message.
