Chapter 11 - THE ACQUISITION CLOCK

MedAxis did not care who cheated.
It cared whether Vale Dynamics could close.
The buyer threatened to delay acquisition until:
ownership,
spousal claims,
and governance issues were resolved.
Adrian blamed Claire.
Publicly through lawyers.
He said:
“Her litigation is jeopardizing hundreds of employees.”
Smart pressure.
Claire began receiving messages from workers.
Please don’t destroy the deal.
My family depends on this.
Some were genuine.
Some encouraged by management.
Claire felt trapped.
If she fought:
selfish pregnant wife kills company.
If she surrendered:
Adrian keeps disputed millions.
Rachel asked:
“What do you actually want?”
Claire thought.
“Fair value.”
“Control?”
“No.”
“Revenge?”
Claire paused.
“Yes.”
Rachel waited.
Claire exhaled.
“But not through the company.”
Good.
They proposed:
independent valuation,
escrow of disputed proceeds,
acquisition closes,
marital claims decided later.
MedAxis accepted.
Adrian resisted.
Why?
Because escrow would freeze the money he wanted immediately.
That revealed priorities.

The board overruled him.
Acquisition moved forward.
