Chapter 6 - THE PREGNANCY NARRATIVE

Adrian’s private notes described Claire as:

volatile,

hormonal,

financially irrational,

fixated on the company,

unable to separate personal conflict from business.

Some examples were real.

Claire had screamed at him.

Thrown a glass into a sink.

Sent twenty-three texts one night.

Cancelled a dinner with investors after discovering a suspicious hotel charge.

None proved incapacity.

But Adrian was assembling moments.

Then an email to his board adviser:

We may need to show Claire is not in a position to influence transaction decisions.

Why would Claire influence them?

She was not a director.

But she held:

contractual consent rights from an early marital guarantee agreement.

Years earlier, when Claire guaranteed a company loan with jointly owned property, Adrian signed a side agreement requiring her consent before certain major equity transactions until the guarantee was released.

The bank later released the guarantee.

But the side agreement had never been formally terminated.

Could Claire block acquisition?

Maybe temporarily.

Enough to create negotiation leverage.

Adrian needed:

settlement,

waiver,

or court ruling.

Then Rachel found a draft affidavit.

Not filed.

Title:

DECLARATION REGARDING SPOUSAL INSTABILITY AND TRANSACTION INTERFERENCE.

Adrian had prepared it before the affair was exposed.

He planned to argue Claire’s emotional state threatened the acquisition.
