The company had grown since Sophie’s birth.

If the trust had been created on time, the 6% interest would have participated in distributions.

How much had Sophie missed?

Forensic accounting estimated:

$286,000 in distributions,

plus appreciation.

But appreciation would be restored through actual shares.

The remedy was not a $4.2 million cash check.

Instead:

create the trust now,

fund it with the contractual 6% interest,

credit missed distributions with interest,

adjust tax treatment.

Diane argued implementation would dilute existing family holders.

That was how the agreement worked.

No one lost shares retroactively beyond what should have been transferred.

The board appointed an independent special committee.

Diane was suspended from decisions involving descendant allocation.

Not removed from everything.

Still a shareholder.

Still family.
